执证
买方保证所有进口时合同中涉及的所有产品的必要用的执证及其它认证已经获取（或将会获取），此外，买方还要保证此执证在合同有效期内一直有效。
继承和转让
有事先经他人同意的不可以无故中止的书面同意书,双方都可以转让在此协议下的全部或部分权利或义务
违约
违约方（不履约方）如有下列行为：
1）付款违约、对另一方不履行合约、及双方其它合约
2）不会翻译
3）不会翻译
4）不能支付到期债务
5）不能在48小时内，为一相关的合理的要求，提供有能力完成在此交易或其它交易基础上的责任的保证。
有以上任何情况,履约方有权立刻或任何时间来清算及终止双方尚未履行合约，在此基础上的清算及终止的合约的所有货款及费用, 不履约方应立刻无任何差错以美元方式支付,包括因法律诉讼产生的费用及其它所有花费.
